KPIT Technologies on Wednesday announced plans to acquire a 100 per cent stake in Israel-based automotive cybersecurity specialist Cymotive Technologies in a deal valued at up to USD 120 million, approximately Rs 1,138 crore.

According to a regulatory filing, the acquisition will take place in multiple stages. The process will begin with an initial investment of USD 10 million in preference capital, which is expected to be completed by mid-June 2026.

The company stated that if the preference capital is converted into equity, the complete acquisition would be executed in two tranches. The final valuation and consideration amount will depend on Cymotive’s actual revenue performance and EBIT achievements over the agreed period.

KPIT indicated that the total payable consideration, including the upfront investment, is expected to range between USD 60 million and USD 120 million.

The acquisition is expected to strengthen KPIT’s capabilities in the fast-growing automotive cybersecurity segment, an area gaining prominence with the rise of connected, software-defined, and autonomous vehicles. Cymotive is known for its expertise in vehicle cybersecurity solutions aimed at protecting automotive systems from digital threats and vulnerabilities.
